Amending articles of association

Capital increase
Planning to increase your stock capital or participation capital? The new Swiss Company Law stipulates the following three types of capital increase:
- The ordinary capital increase
- The contingent capital increase
- The capital range
We can draw up the necessary documents for certifying increases in stock capital or participation capital and also act as notaries at your AGM or administrative board meetings.
Capital reduction
Reducing stock capital requires an officially notarised resolution from the AGM and once the deadlines have passed, the administrative board must establish that the capital reduction has been correctly implemented in a second public deed. Capital range
Since 2023, public limited companies have been able to insert a capital range into their articles of association.
The capital range offers a company limited by shares a more flexible way of regulating their equity financing and capital structure by making it easier for companies to increase their equity and resolve any over-capitalisation of the company (capital reduction). We are happy to advise you on the relevant options open to you when it comes to formulating a capital range in your articles of association.
General Meeting
We can certify resolutions of general meetings (e.g. amendments to articles of association) and can also help you prepare and run your general meetings.
Merger/Restructuring
We can advise and support you on all notarial matters in the event of a restructuring, merger or division of a company and can also certify necessary resolutions.
Liquidation
A resolution to liquidate a company limited by shares must be notarised. We can prepare and notarise these resolutions for you.

Contract of succession
Want to draw up a binding regulation for your estate with other people? We can give you extensive advice on the different options available to you when it comes to drawing up a contract of succession, such as:
- Contract concerning naming of heirs, e.g. by naming a provisional heir/remainderman (Vor- und Nacherbe)
- Designation of a substitute heir (Ersatzerben-Einsetzung)
- Legacy contract, e.g. as provisional and remainder legacy or as substitution legacy
- Renunciation of inheritance in the strictest sense (Erbverzicht i.e.S.)
- Inheritance renunciation contract without valuable consideration (Erbauskauf)
A contract of succession can be concluded simultaneously with and also connected to a marriage contract. This makes sense in particular if you wish to favour your spouse as much as possible in the event of your death.
We will draw up the right contract of succession for you and our Notaries can notarise it as a public deed.
Marriage contract (Prenuptial agreement)
With a marriage contract, you can adapt the statutory property regime to your acquired property or switch to separation of the property regime or the community of property regime.
It is also possible to use a marriage contract (including in conjunction with a contract of succession if desired) to regulate a betterment or maximum favouring of a spouse in the event of your death.

Wills
Wills that have not been properly prepared or which are unclear not only pose the risk that the estate will not be divided as intended, they can also result in significant disputes and lots of time and money spent by survivors.

Advance care directive
An advance care directive determines who should make relevant decisions for you, namely decisions regarding personal needs and financial affairs, in the event that you are no longer capable of judgement (e.g. because of dementia or falling into a coma after an accident).
The advance care directive contains as a minimum provisions on:
- personal care/welfare (personal care)
- finances (financial care)
- representation in legal matters
Married persons also generally need an advance care directive because spouses are not automatically authorised for all aspects of an advance care directive.
We can offer you advice and draw up and certify your advance care directive for you.
Guarantees / Securities
We can offer advice on and prepare and certify guarantees and securities.
Common types of guarantees are:
- Simple guarantee
- Indemnity bond
- Joint and several guarantee
- Collateral guarantee
- Joint guarantee
The legislator has stipulated that statements of guarantee made by natural persons with an amount of liability of more than CHF 2,000 must be publicly certified. Statements of guarantees with an amount of liability below CHF 2,000 are valid in writing, provided the maximum sum and, where applicable, joint and several liability is indicated by the guarantor in the deed itself (Art. 493 OR (Swiss Code of Obligations)).
If the guarantor is married or in a registered partnership, the spouse or registered partner must consent to the guarantee in advance or no later than at the same time as the certification (Art. 494 OR).

Affidavits
In countries where English or related law is applied, the affidavit is a deed signed by the issuer and certified by his or her statutory declaration which provides information on actual circumstances. In Switzerland, this declaration is made after the issuer is informed of the consequences of obtaining a false certification by fraudulent means pursuant to Art. 253 of the Swiss Criminal Code (StGB) in the form of a public deed.

Foundations
We can provide you with advice and help to prepare and certify all processes relating to foundation law, in particular setting up a foundation and amending deeds of foundations and can also assist in dealing with supervisory authorities.
Deeds
Mediation agreement
We can certify or attest mediation agreements as a notary public in order to give you additional security and better enforceability.
Letters of intent
Our notary’s office certifies all kinds of letters of intent. Come and talk to us so that we can discuss and certify the letter of intent you need.
Notarised promissory note
If a debt has not been paid as agreed, a promissory note which has been issued and certified by a notary public can be enforced in quick and simple court proceedings just like a judgement as a so-called definitive clearance to proceed (Art. 349 Swiss Civil Procedural Code (ZPO)), provided the requirements of Art. 347 et seq. ZPO have been met.

Notarised signatures
Our notary’s office can officially certify your signature, e.g. on contracts, powers of attorney, commercial register applications, land register applications etc.
Notarised copies
We can produce notarised copies of documents and forms of identity for you (e.g. copies of passports or ID cards).
